1. What the Service is
Candl is a mobile-first interface for trading on prediction markets. Markets are listed on and settled by Polymarket, a third-party exchange, and Candl routes your orders to Polymarket's order book as a “builder” on its infrastructure. Candl does not create the markets, does not set their outcomes, does not take the other side of your trades and does not hold your funds in its own accounts. The Service also provides market data, charts, a personalised feed, an embedded self-custodial wallet, and deposit and withdrawal tooling provided by third parties.
Candl is not a bank, broker, investment adviser, exchange operator or money transmitter, and nothing in the Service is investment, financial, legal or tax advice. Market prices, probabilities, charts and any editorial content are information only.
2. Eligibility and restricted territories
You may use the Service only if all of the following are true:
- You are at least 18 years old, or the age of majority where you live if that is higher.
- You are not located in, ordinarily resident in, or accessing the Service from a Restricted Territory. “Restricted Territory” means any country or region where the Service or trading on prediction markets is unlawful or where we choose not to operate, including [the United States of America, the United Kingdom, France, Singapore, Taiwan, Ontario (Canada), Australia, and any territory subject to comprehensive sanctions], as updated by us from time to time and applied through the territorial checks described in our Privacy Policy. Polymarket's own territorial restrictions also apply to every trade.
- You are not a person with whom we are prohibited from dealing under sanctions or export-control laws.
- You are using the Service for yourself, not on behalf of another person, and you are not acting for or funded by any person who fails these conditions.
- You have not previously been suspended or removed from the Service.
Using a VPN, proxy or any other method to disguise your location in order to access the Service from a Restricted Territory is a breach of these terms. We may suspend accounts, cancel orders and freeze access where we reasonably believe this has happened, and we are not liable for any resulting loss.
3. Your account
You sign in with an email address, a Google account or an Apple account through Privy, our authentication provider. You are responsible for everything that happens under your account and for keeping the email or social account you sign in with, and your devices, secure. Tell us immediately at admin@candl.trade if you believe your account has been compromised. You may hold only one account, may not transfer it, and must give us accurate information when we ask for it.
4. Your wallet and keys
At sign-in a self-custodial wallet is created for you through Privy's embedded-wallet architecture, together with a smart-contract account used to hold funds and trade. You, not Candl, control this wallet. Candl does not hold your private key in a form it can use on its own, cannot move your funds without an authorisation you have granted, and cannot recover a wallet whose access you have lost. Actions that move funds out of your wallet (withdrawals, transfers, approvals) always require your explicit confirmation in the signing prompt.
Automatic redemption. If you turn on Auto Redeem, you grant Candl's keeper service a limited signing permission to redeem your settled winning positions and convert them into your cash balance while you are offline. That permission is scoped to redemption and conversion only, cannot be used to withdraw or transfer funds elsewhere, and you can revoke it at any time in Profile. Where Auto Redeem is off you must redeem winnings yourself from the app.
Order signing. When you place a trade, your wallet signs an order message for Polymarket's exchange contracts. To keep trading fast, orders whose structure matches a trade you have initiated are signed without a separate prompt. This silent signing is restricted to order messages on the exchange's own contract and cannot be used for any other purpose.
5. Deposits, balances and withdrawals
- Deposits are made by sending supported stablecoins on supported blockchains to the deposit address the app shows you. They are routed through a third-party bridging and conversion provider and credited to your balance in the settlement currency used by the exchange. Sending an unsupported token, sending on an unsupported chain, or sending to the wrong address may result in permanent loss that neither we nor the provider can reverse. Always send a small test amount first.
- Your balance is the on-chain balance of your account, shown in US dollars. Funds in the settlement pipeline (winnings being redeemed or converted) are shown separately until they land.
- Withdrawals are on-chain transfers from your wallet to an address you specify, signed by you. Blockchain transactions are irreversible; we cannot recall funds sent to a wrong or incompatible address. Third-party providers may apply minimums, limits, delays and their own compliance checks.
- Network and provider costs (gas, bridging fees, conversion spreads) are borne by you and may change without notice.
- Candl does not pay interest on balances and is not a deposit-taking institution. Balances are not insured by any government scheme.
6. Trading
- Orders you submit are routed to Polymarket's central limit order book and execute against other participants. Orders are fill-or-kill or fill-and-kill: they either fill immediately at or better than the price limit shown, in whole or in part, or they are cancelled. Candl never leaves a resting order open on your behalf from the trade sheet.
- The price, probability and estimated payout shown before you confirm are quotes that can change in the moments before execution. Your order carries a maximum price tolerance you can set in Profile; if the market moves beyond it, the order does not fill. Partial fills are possible, and you will be shown what filled.
- Trading is disabled when a price is stale, when a market is paused by the exchange, after a market's close, and in other conditions we consider unsafe. We may also cancel, reject or reverse orders that result from error, malfunction, manipulation or a breach of these terms.
- You are solely responsible for your trading decisions. Past prices do not predict outcomes.
- All positions, orders and balances are recorded on-chain and on Polymarket's systems, which are the records of truth; the app's display is derived from them.
7. Market resolution and settlement
Each market's question, rules and resolution source are set by Polymarket and shown in the app. Markets are resolved by Polymarket's resolution process, which for many markets uses the UMA optimistic oracle, and for short-interval price markets uses a time-weighted average of a designated price feed over the window stated in the market rules. Candl does not decide outcomes and cannot change them. Disputes about a resolution follow Polymarket's and the oracle's procedures, not ours, and an outcome may be delayed, disputed or changed under those procedures. Winning positions are redeemable once the market has resolved and the exchange has settled; timing depends on the exchange and the blockchain, not on Candl.
8. Fees
Candl charges a builder fee on trades executed through the Service, expressed as a percentage of the trade and shown to you before you confirm, together with any exchange fee that Polymarket charges. Current fee levels are displayed in the app; we may change them with notice in the app. Network, bridging and conversion costs are charged by third parties as described in section 5. Except where the law requires otherwise, fees are not refundable.
9. Risks you accept
By using the Service you acknowledge and accept that:
- You can lose everything you stake. A position in a market that resolves against you is worth nothing.
- Prices are volatile, liquidity can be thin, and you may be unable to close a position before resolution at any price.
- Blockchain transactions are irreversible, can fail or be delayed, and depend on networks we do not control.
- Smart contracts, wallets, bridges and oracles can contain bugs or be exploited, and funds held in or passing through them can be lost.
- Market resolution depends on third-party processes and data sources, which may be delayed, disputed or wrong.
- Third-party providers (authentication, wallets, exchange, bridging, price feeds, hosting) may suspend, change or withdraw their services.
- The legal and regulatory treatment of prediction markets and digital assets is uncertain and varies by jurisdiction, and may change in ways that restrict or end your ability to use the Service or access your funds.
- You are responsible for determining whether using the Service is lawful where you are and for any taxes arising from your activity.
10. Prohibited conduct
You must not:
- use the Service from a Restricted Territory or disguise your location;
- let anyone else use your account, or use another person's account;
- engage in market manipulation, wash trading, spoofing, front-running, insider trading, or trade on non-public information about a market's outcome;
- use bots, scripts, scrapers, crawlers or other automated means to access the Service, its market data, prices or feeds, or to place orders, other than through interfaces we expressly provide for that purpose;
- copy, harvest, resell or redistribute market data, prices, charts or feed content from the Service;
- interfere with the Service's security, rate limits or access controls, probe or reverse-engineer it, or introduce malicious code;
- use the Service for money laundering, terrorist financing, fraud, sanctions evasion or any other unlawful purpose;
- impersonate Candl or anyone else, or misrepresent your affiliation;
- abuse referral, points or promotional programmes, including by creating multiple accounts.
11. Referrals, points and promotions
We may run referral programmes, points or rewards programmes, competitions and other promotions. Each has its own rules, which form part of these terms when you take part. Points and similar units have no cash value unless the programme rules say otherwise, are not transferable, may expire, and may be adjusted or withdrawn where we detect abuse or error. We may change or end any programme at any time.
12. Third-party services
The Service depends on services we do not control, including Privy (authentication and wallets), Polymarket (markets, order book, resolution and settlement), bridging and stablecoin conversion providers, blockchain networks and price-data providers. Their terms and policies apply to your use of them, and by using the Service you agree to be bound by Polymarket's Terms of Use in respect of every trade. We are not responsible for their acts, omissions, availability or content.
13. Intellectual property
The Service, including its software, design, text, graphics, logos and trade marks, belongs to Candl or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose in accordance with these terms. You may not copy, modify, distribute, sell, lease or create derivative works from any part of it. Market questions, rules and related content belong to Polymarket or their respective owners. If you send us feedback, we may use it without obligation to you.
14. Availability and changes
We aim to keep the Service available but do not guarantee it. We may change, suspend or discontinue any part of the Service, including support for particular markets, chains, tokens or features, at any time, with or without notice. Where a change materially affects funds you hold through the Service, we will use reasonable efforts to give you a way to withdraw them.
15. Suspension and termination
You may stop using the Service at any time; withdraw your funds first, since your wallet remains yours but the app is the convenient way to access it. We may suspend or terminate your access, cancel pending orders and restrict features immediately if we reasonably believe you have breached these terms, pose a risk to the Service or other users, or where the law requires. Where we terminate for a reason other than your breach or a legal requirement, we will use reasonable efforts to let you withdraw your funds. Sections that by their nature should survive termination do so.
16. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, CANDL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT PRICES, PROBABILITIES, CHARTS, MARKET DATA OR RESOLUTION OUTCOMES ARE ACCURATE, TIMELY OR COMPLETE, OR THAT ANY ORDER WILL EXECUTE.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CANDL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR DIGITAL ASSETS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID TO CANDL IN THAT PERIOD AND [USD 100]. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED BY LAW, INCLUDING FOR FRAUD OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE.
18. Indemnity
You will indemnify and hold harmless Candl and its officers, directors, employees, contractors and affiliates from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of your use of the Service, your breach of these terms, your violation of any law or third-party right, or your trading activity.
19. Governing law and disputes
These terms are governed by the laws of [jurisdiction], without regard to conflict-of-law rules. Before starting formal proceedings you agree to contact us at admin@candl.trade and try in good faith to resolve the dispute for at least 30 days. Any dispute that is not resolved will be finally settled by [binding arbitration under the rules of [arbitral body] seated in [city], conducted in English by a single arbitrator / the exclusive jurisdiction of the courts of [jurisdiction]]. To the extent permitted by law, you and Candl each waive any right to a jury trial and to participate in a class or representative action. Nothing in this section prevents either party seeking injunctive relief in any court of competent jurisdiction.
20. General
- Changes to these terms. We may update these terms. We will post the new version here with a new effective date and, for material changes, tell you in the app or by email before they take effect. Using the Service after that date means you accept the updated terms.
- Entire agreement. These terms, the Privacy Policy and any programme rules are the entire agreement between you and Candl about the Service.
- Severability. If any provision is unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these terms. We may assign them to an affiliate or successor.
- Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including blockchain network failures, third-party outages, and changes in law.
- Language. These terms are written in English. Translations are for convenience; the English version prevails.
